Kullanım Şartları - Shaker

1 Kapsam ve Sözleşmenin Kabulü

İşbu B2B Genel Ticari Satış Şartları ve Kullanım Koşulları (“Sözleşme”), Shaker Tasarım ve Plastik San. Tic. A.Ş. (“Üretici / Şirket”) ile dijital platformu (dev.shaker.com.tr) kullanan, teklif isteyen, numune talep eden veya toptan sipariş veren tüzel ve gerçek kişi tacirler (“Müşteri / Alıcı”) arasındaki ticari ilişkiyi düzenler. Platforma üye olan veya sipariş oluşturan her Müşteri, bu şartları gayrikabili rücu kabul etmiş sayılır.

2 B2B Hesap Kaydı ve Kurumsal Temsil Yetkisi

Platformumuz münhasıran ticari işletmelere, spor kulüplerine, takviye gıda markalarına ve toptan dağıtıcılara (B2B) hizmet vermektedir. Üye kaydı oluşturan yetkili; firmasını temsil ve ilzam etmeye yetkili olduğunu, beyan ettiği vergi ve unvan bilgilerinin resmi sicil kayıtlarıyla birebir örtüştüğünü taahhüt eder.

3 Teklif Talepleri, Asgari Sipariş Miktarı (MOQ) ve Numune Politikası

Ürünlerimiz fabrikadan doğrudan toptan imal edilmekte olup, aksi yazılı olarak kararlaştırılmadıkça modellerimiz için standart Asgari Sipariş Miktarı (MOQ) uygulanır. Dijital platform üzerinden iletilen teklif talepleri, şirketimizin yetkili satış departmanı tarafından proforma fatura düzenlenip Müşteri tarafından onaylanana kadar bağlayıcı teklif teşkil etmez. Kurumsal numune talepleri kargo ücreti alıcıya ait olmak üzere sevk edilir.

4 Hammadde Standartları, BPA Free ve Üretim Toleransları

Fabrikamızda imal edilen tüm shaker, karıştırıcı hazne, kapak ve medikal kaplar %100 Orijinal (Virgin), Gıda ile Temasa Uygun Polipropilen (PP) ve Polietilen (PE) hammaddelerden üretilir. Ürünlerimizin tamamı BPA FREE, Fitalat İçermez ve ISO 9001:2015 kalite yönetim güvencesindedir. Plastik enjeksiyon üretiminin doğası gereği Pantone renk tonlarında %±3 ve ürün gramajında %±2 tolerans kabul edilebilir endüstriyel standarttır.

5 Özel Kalıp, Logo Baskısı ve Fikri Mülkiyet

Müşteri tarafından sağlanan marka logoları, grafik çalışmaları ve amblemlerin telif veya patent hakkının Müşteri’ye ait olduğu kabul edilir. Üçüncü şahısların fikri mülkiyet ihlali iddialarından doğacak tüm hukuki ve cezai sorumluluk münhasıran Müşteri’ye aittir. Şirketimizce geliştirilen tescilli enjeksiyon kalıplarının mülkiyeti aksi sözleşmeyle belirlenmedikçe Şirketimize aittir.

6 Fiyatlandırma, Ödeme ve Teslimat Şartları (Incoterms 2020)

Tüm fiyatlar proforma faturada belirtilen para birimi (TRY, USD, EUR) cinsindendir ve KDV/Gümrük vergileri hariçtir. Uluslararası sevkiyatlar aksi kararlaştırılmadıkça EXW (Fabrika Teslimi), FOB veya CIF Incoterms 2020 kurallarına göre gerçekleştirilir. Özel üretim siparişlerinde avans ödemesi tahsil edilmeden kalıp ve baskı sürecine başlanmaz.

7 Muayene ve İtiraz Süresi (7 İş Günü Kuralı)

Alıcı, teslim aldığı emtiayı Türk Ticaret Kanunu m. 23 gereği teslim tarihinden itibaren 7 (yedi) iş günü içerisinde muayene etmekle yükümlüdür. Ayıplı veya eksik ürün bildirimi bu süre içinde yazılı olarak yapılmalıdır; süresinde bildirilmeyen ayıplar için sorumluluk kabul edilmez.

8 Yetkili Mahkeme ve Uyuşmazlıkların Çözümü

İşbu sözleşmenin uygulanmasından doğacak her türlü uyuşmazlığın çözümünde Türk Hukuku uygulanır ve İstanbul (Çağlayan) Mahkemeleri ve İcra Daireleri münhasıran yetkilidir.

1 Geltungsbereich und Vertragsabschluss

Diese Allgemeinen Geschäfts- und Verkaufsbedingungen (AGB) gelten für alle gegenwärtigen und zukünftigen B2B-Geschäftsbeziehungen zwischen der Shaker Tasarım ve Plastik San. Tic. A.Ş. („Hersteller“) und gewerblichen Kunden („Käufer“). Mit der Registrierung oder Auftragserteilung erkennt der Käufer diese Bedingungen uneingeschränkt an.

2 Mindestbestellmengen (MOQ) und Musterversand

Alle Produkte werden industriell in Großserie gefertigt. Für Großhandels- und kundenspezifische Druckaufträge gelten definierte Mindestbestellmengen (MOQ). Ein verbindlicher Liefervertrag kommt erst durch schriftliche Auftragsbestätigung bzw. Proforma-Rechnung zustande.

3 Qualitätsstandards, BPA-Freiheit & Werkstoffe

Unsere Shaker werden zu 100% aus lebensmittelechten, zertifizierten Rohstoffen (Polypropylen/Polyethylen) ohne Bisphenol A (BPA Free) nach ISO 9001 gefertigt. Branchenübliche Fertigungstoleranzen bei Kunststoff-Spritzguss bleiben vorbehalten.

4 Preise, Incoterms und Mängelrüge

Lieferungen erfolgen standardmäßig EXW (Incoterms 2020) ab Werk Istanbul, sofern nicht anders vereinbart. Der Käufer ist verpflichtet, die Ware unverzüglich nach Erhalt zu prüfen und etwaige Mängel innerhalb von 7 Werktagen schriftlich anzuzeigen.

Les présentes Conditions Générales régissent l'ensemble des ventes et prestations industrielles conclues entre Shaker Tasarım ve Plastik San. Tic. A.Ş. et ses clients professionnels (B2B). Toute commande implique l'adhésion entière et sans réserve aux présentes conditions.

2 Normes de Fabrication et Garantie BPA Free

Nos shakers et contenants sont fabriqués exclusivement à partir de polypropylène (PP) vierge de qualité alimentaire, certifiés sans BPA et conformes aux normes ISO 9001:2015. Les tolérances d'injection usuelles sont applicables.

3 Livraisons, Incoterms et Réclamations

Les livraisons internationales sont régies par les Incoterms 2020 (EXW, FOB, CIF selon proforma). Toute réclamation pour vice apparent doit être notifiée par écrit dans un délai strict de 7 jours ouvrés suivant la réception.

١ نطاق الاتفاقية والمعاملات التجارية B2B

تنظم هذه الشروط العامة للمبيعات التجارية B2B العلاقة بين شركة شاكر للصناعات البلاستيكية والتصميم المساهمة (المصنع) وعملائها من التجار والشركات والموزعين (المشتري). يشكل استخدام المنصة أو تقديم طلبات عروض الأسعار موافقة قانونية ملزمة على هذه الشروط.

٢ معايير الجودة والمواد الخام الخالية من BPA

تصنع جميع منتجاتنا من الشيكر والعبوات الطبية من مواد خام أصلية 100% مناسبة للأغذية (بولي بروبيلين PP وبولي إيثيلين PE) وخالية تماماً من مادة البيسفينول أ (BPA FREE) ومطابقة للمواصفة القياسية ISO 9001:2015.

٣ شروط الشحن وفحص البضائع (مهلة ٧ أيام عمل)

يتم الشحن الدولي وفقاً لقواعد التجارة الدولية Incoterms 2020 (EXW, FOB, CIF). يلتزم المشتري بفحص المنتجات خلال ٧ أيام عمل من الاستلام وإخطار الشركة بأي ملاحظات كتابياً.

1 Scope & Binding Commercial Agreement

These General B2B Terms of Service and Conditions of Sale ("Agreement") govern all transactions, digital quotations, sample dispatches, and manufacturing orders executed between Shaker Tasarım ve Plastik San. Tic. A.Ş. ("Manufacturer / Company") and commercial corporate buyers, brand owners, and wholesale distributors ("Client / Buyer") via dev.shaker.com.tr.

2 Corporate Registration & Representative Authority

The digital platform serves commercial B2B entities exclusively. The individual registering an account warrants that they hold legitimate corporate authority to bind their enterprise in commercial agreements and that all supplied tax registration details are accurate.

3 Quotations, Minimum Order Quantities (MOQ) & Samples

Products are manufactured at industrial wholesale scale subject to model-specific Minimum Order Quantities (MOQ). Price estimates generated through the portal constitute non-binding commercial quotations until a formal Proforma Invoice is issued and countersigned. Samples are dispatched upon freight-collect or prepaid terms.

4 Raw Materials, BPA-Free Certification & Tolerances

All shakers, mixing grids, and closures are molded from 100% virgin food-grade Polypropylene (PP) and Polyethylene (PE). All items are strictly BPA FREE, Phthalate-free, and manufactured under ISO 9001:2015 certified quality systems. Standard plastic injection industrial tolerances of ±3% for Pantone color matching and ±2% for unit weight apply.

5 Custom Molds, Artwork Printing & Intellectual Property

The Buyer indemnifies and holds harmless the Company against any third-party claims arising from intellectual property or trademark infringements related to custom artworks, vector logos, or branding supplied by the Buyer. Unless proprietary mold purchase agreements are executed, all industrial tooling remains the intellectual property of the Company.

6 Pricing, Incoterms (2020) & Inspection Protocol

Export prices are quoted EXW (Ex Works Istanbul), FOB, or CIF under Incoterms 2020 rules, exclusive of applicable customs duties or local taxes. The Buyer must inspect delivered consignments within 7 business days of receipt. Written notice of defects must be submitted with batch photos within this period.

7 Governing Law & Jurisdiction

This agreement and any disputes arising hereunder shall be governed exclusively by Turkish Commercial Law, and the Central Courts and Execution Offices of Istanbul (Çağlayan) shall have exclusive jurisdiction.
